Disclosures – Asset Retirement Obligations and Environmental Liabilities

Financial disclosure requirements are not new for many companies or municipalities. However, securities and accounting policies continually evolve and change with regard to how companies establish and report asset retirement obligations (AROs) and environmental liabilities. There are complex financial disclosure rules for real and contingent environmental liabilities, and for asset retirement obligations. Certain rules may require the set aside or reserve of capital to cover the eventuality of such liabilities, which can total in the millions of dollars.

Our asset retirement consultancy supports the financial reporting for clients with tangible, long-lived assets or planning to build new facilities or replace outdated infrastructure. We have developed strategic options to address and disclose asset retirement obligations and environmental liabilities to ensure consistency of reporting across all assets, and to minimize reserves for long-term liabilities. Central to our approach:

  • Environmental liabilities are estimatable, and can be determined with a proper due diligence process for acquisitions or divestitures.
  • The environmental conditions, situations, or set of circumstances involving uncertainty as to possible losses can be established and maintained from reporting year to reporting year.
  • Comprehensive accurate estimates of liabilities are not only for disclosure compliance, but are required for accounting accruals and must be defensible.
  • Determinate AROs are legal, regulatory or contractual obligations.
  • Indeterminate AROs are obligations conditioned on the timing or method of settlement. These can be estimated to meet disclosure requirements even if the asset will be mothballed, abandoned or sold.
  • Consistent reporting methods that reduce the level of effort to define and defend the obligations are critical, as are those that reduce or eliminate the amount of reserves.
  • Reporting that supports evidence that compliance projects are prudent and represent the lowest practical cost options for stakeholders is vital to establish trust and justify rate cases or accruals.

Litigation Support

Destrier provides a broad range of technical support services to clients facing major litigation, administrative proceedings, complex acquisition and/or divesture transactions, and myriad regulatory matters. We are a critical team player responsible for supporting Counsel on an array of issues that can significantly impact a company’s reputation, standing in the community, and the bottom line. We are smart, strategic, and focused and have gained widespread recognition in protecting our clients and securing respect from the regulatory community. Example projects include:

  • Executed the accelerated investigation, remediation and demolition of mothballed facilities under a USEPA Administrative Order on Consent and USDOJ Indictment, meeting nearly impossible deadlines. Our efforts resulted in our client retaining control of the site and all work, resulting in the savings of millions of dollars.
  • D4 Subject Matter Expert (SME) brought into manage and oversee the safe completion of demolition and remediation of a power plant after the failed implosion of two boiler units that resulted in severe injuries to implosion spectators and surrounding properties. Our work resulted in the safe completion of all work and forensic investigations.
  • D4 Subject Matter Expert (SME) providing expert testimony on behalf of a lessee seeking the cost of D4 and remediation of a 2 million square foot aerospace manufacturing facility abandoned in place by the Lessor. Our efforts resulted in a favorable judgment for the lessee, and our work product was used as the basis of specifications for the actual work.
  • D4 Subject Matter Expert providing expert testimony for the value of the complete D4 and remediation of a Golf Resort/Riverboat Casino that was in escrow as part of a Purchase and Sale Agreement when it was destroyed mid-escrow by a hurricane. Our efforts resulted in a favorable settlement for our client.
